New Canada
Not-for-Profit Corporations Act (“CNCA”)
•Canada Corporations Act (CCA) has not been substantively
amended since 1917
•CNCA enacted on June 23, 2009, in force October 17, 2011
•Replaced
Part II of CCA
•The new rules do not apply automatically to CCA corporations
•Existing CCA corporations will be required to continue under
the CNCA by October 17, 2014 by filing articles of continuance
and adopting new by-laws that comply with the CNCA
•Failure to continue will result in dissolution of the corporation
