Removal or Discipline of Board Members
•Removal or discipline of
directors must be done by members
•However, the court could be
asked to intervene after a questionable election and order new
elections of directors
•A possible indirect approach so
that the board can remove or discipline a director
–Have the prospective
director agree to a board code
of conduct that would allow the board to discipline or remove a
director
–Have the directors file an
undated resignation with the corporation when elected to the
board
