•Despite statutory protection
provided where the director of a charity declares a
conflict of interest, no reliance can be placed on these
provisions since the director will generally still be in
breach of their fiduciary duty at common law
3.Duty to Continue
•Directors have continuing
obligations to the corporation which cannot be relieved by
resignation
•Both the CNCA
and ONCA provide for a limitation period of 2
years
•As such, it is
possible for a former director to continue to be held accountable for their duties while they were still a director even up to 2 years since ceasing to be a director
