•A director is
not liable if they exercised the care, diligence
and skill that a reasonably prudent person would have exercised in comparable circumstances
•CNCA – directors
may use this defence to exonerate themselves
from liability for unpaid wages, improper payments to members, or the duty to comply
–Same defence is
available to officers
•ONCA – not
available to officers and cannot be used against
liability for employee wages
