–Legislation only provides for
the creation of by-laws to remove directors by
members
–Normally
include a provision in the bylaw that allows
a members resolution to remove a director by 2/3 of the members present
•CNCA
–Enhances the
accountability of directors by providing members with the
power to remove directors by ordinary resolution at any time
–May apply to court for an
oppression remedy except for religious corporations
§May result
in a court appointing directors in place of or in addition to all or any of the directors then in office
