–In order to be qualified as a director,
a person must
§Be at least18
years of age
§Not have
been found to be incapable of managing
property under the Substitute Decisions Act, 1992 or under the Mental Health Act
§Have not
been declared incapable by a court in Canada
or in another country
§Not have the
status of a bankrupt
–Not required to be a member of
a corporation, unless the by-laws
state otherwise
–Ex-officio directors are permitted
–The requirements apply whether
the directors are elected or are
ex-officio
