With the anticipated proclamation of the Ontario Not-for-Profit Corporations Act, 2010 (“ONCA”) in early 2014, it is an appropriate time for not-for-profit corporations incorporated under Part III of the Ontario Corporations Act to begin familiarizing themselves with the changes that the new ONCA will have on their future corporate structure and governance, and to plan toward transitioning to the ONCA. All such corporations will have three years after proclamation of the ONCA to bring their constating documents into compliance with the rules in the ONCA.

Carters Professional Corporation is hosting half-day workshops for members of the sector in Toronto, on Wednesday, October 2, and in Ottawa on Friday, October 4, 2013.

These half-day workshops will provide a detailed and practical explanation of the changes that the new ONCA will have on corporate structure and governance, as well as how to plan toward transitioning to the ONCA. Following breakfast, presentations will be given covering the following topics:

  • Key aspects of the ONCA that you need to know
  • The how and when of transitioning to the ONCA
  • Drafting new by-laws to conform with the ONCA
  • Drafting articles of amendment under the ONCA
  • Other practical issues in getting ready for the ONCA
